Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of alltorcusa.com (the "Website") and any products or services provided by ALLTORC ("we", "us", "our"). By using the Website, requesting a quote, or placing an order you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Website or order from us.
Use Of The Website
You may use the Website for lawful purposes only. You agree not to:
- Use the Website in any way that violates applicable law
- Attempt to gain unauthorised access to any part of the Website or its underlying systems
- Introduce malicious code, scripts, or interfere with the Website's operation
- Scrape, mirror, or systematically extract content without our written permission
Intellectual Property
All content on the Website (including text, graphics, logos, product images, and code) is owned by or licensed to ALLTORC and protected by United States and international intellectual property laws. You may view and download content for your own non-commercial use. You may not reproduce, distribute, modify, or create derivative works without our prior written permission. Manufacturer trademarks remain the property of their respective owners.
Product Information & Pricing
We try to ensure that product descriptions, specifications, images, and pricing on the Website are accurate. We do not guarantee that descriptions or pricing are error-free. Prices are subject to change without notice and excluding applicable taxes, shipping, and surcharges unless stated otherwise.
Quotations are valid for the period stated on the quote. If no period is stated, quotations are valid for thirty (30) days from the date of issue.
Quotes & Orders
An order is accepted only when we issue a written order acknowledgement or commence performance of the order. We reserve the right to decline or cancel any order for any reason, including suspected fraud, pricing errors, or product unavailability.
Custom and engineered-to-order products require a signed approval drawing or specification before manufacture. Once approved, custom orders cannot be cancelled.
Payment Terms
Payment terms are net thirty (30) days from invoice date for approved credit account customers, unless otherwise agreed in writing. New customers and non-account customers pay in advance or on order acknowledgement. We accept major credit cards, ACH transfer, and company cheques.
Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Accounts in arrears may be placed on hold until cleared.
Shipping & Delivery
Shipping is governed by our Shipping Policy. Risk of loss passes to the customer when the goods are delivered to the carrier (FOB Origin). Title passes upon receipt of full payment.
Returns
Returns are governed by our Returns Policy. Calibrated tools, custom items, and used rental tools are not returnable for credit unless covered by warranty or shipped in error.
Warranties
Manufacturer warranties pass through to the original purchaser. Our calibration and repair work is warranted against workmanship for the period stated on the work order or invoice (typically thirty days from return). For full warranty terms see our Warranty page.
Except as expressly stated, ALLTORC disclaims all other warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose.
Limitation Of Liability
To the maximum extent permitted by law, ALLTORC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with the use of the Website, the purchase or rental of products, or the performance of services. Our total aggregate liability shall not exceed the amount paid by you for the products or services giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence or any other liability that cannot lawfully be limited.
Indemnification
You agree to indemnify and hold ALLTORC harmless from any claims, damages, losses, or expenses arising out of your breach of these Terms, your misuse of products or services, or your violation of any applicable law.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
Changes To These Terms
We may revise these Terms from time to time. The revised version takes effect on the "Last Updated" date shown above. Continued use of the Website after changes constitutes acceptance of the revised Terms.
